VitaSummer Giveaway Sweepstakes ("Sweepstakes").

Void outside of the 50 United States, District of Columbia and where prohibited. Do not proceed to enter if you are not at least 18 years of age and a legal resident of, and located within, one of the 50 United States, or the District of Columbia, at the time of entry. By participating, you agree to be bound by these Official Rules and the decisions of the Sponsor, which are binding and final in all matters relating to this Sweepstakes.

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. MUST BE 18 YEARS OR OLDER TO ENTER OR WIN.

SWEEPSTAKES PERIOD: The Sweepstakes begins at 12:00 AM ET on 08/02/16 and ends at 11:59 PM ET on 08/08/16.

SPONSOR: The Sweepstakes sponsor is Church & Dwight Co., Inc., 500 Charles Ewing Boulevard, Ewing, NJ 08628 (“Sponsor”). The Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Instagram, Inc. (“Instagram”). By entering you understand that you are submitting your information to Sponsor and not to Instagram.

HOW TO ENTER:

To participate in the Sweepstakes, you must have a valid Instagram account with a public profile. If you do not already have an Instagram account, download the free Instagram application to your mobile device and create an account as instructed. An Instagram account is free of charge. During the Sweepstakes Period, follow these steps to enter:

1. "Follow" the official Vitafusion™ Instagram page, @Vitafusion (https://instagram.com/Vitafusion/), if you do not already
2. Take a photo that captures your favorite way to stay active this summer (“Photo”) and tag it with #VitaSummerGiveaway and #SweepstakesEntry on Instagram (the “Entry”). NOTE: If #VitaSummerGiveaway and #SweepstakesEntry hashtags are not included for any reason, Photo will not constitute a valid Entry in the Sweepstakes and will be disqualified.

The Photo may include the entrant (but no other person) in the Photo. To be a valid Entry, the Photo must also comply with the requirements set forth below in the “Additional Photo Requirements” section.
By posting Photo in compliance with the above requirements and the below Additional Photo Requirements, you will automatically receive one (1) Entry into the Sweepstakes.

Additional Photo Requirements: Photos must be in digital format, and must be original, unaltered, on which no professional image editing software has been used. Content of Photo must be truthful in all material respects. In addition, the Photos must comply with the following requirements: (i) the Photo may not feature any person other than entrant; (ii) other than the Sponsor, its products, brands and/or logos, the Photo may not show, contain, mention, depict, refer or otherwise allude to the name, logo or product of any other retailer, manufacturer, brand, product, store, place of business, person, company or character in such a way or manner as to imply an affiliation with, or endorsement of, the Sponsor, its products, brands and/or this Sweepstakes; (iii) the Photo must be entrant's own original work, created solely by entrant and not created professionally, unless entrant has otherwise obtained the rights and permission to use and/or display the Photo; must not have been previously published, released or distributed in any form; must not have won any award; and must not infringe the copyright, trademark, privacy, publicity, or other personal or proprietary rights of any person or entity; (iv) the Photo may not contain, mention, refer or otherwise allude to any material that is violent, lewd, obscene, sexually explicit, pornographic, disparaging, defamatory, libelous, racially or morally offensive or otherwise contain inappropriate content or objectionable material, as determined solely by Sponsor in its discretion; (v) the Photo cannot promote alcohol, illegal drugs or tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any political agenda or message; (vi) the Photo cannot in any manner defame, misrepresent, contain disparaging remarks or reflect negatively about Sponsor, its products, or other people, products or companies or their products, or in any way reflect negatively upon such parties or explicitly or implicitly communicate messages or images inconsistent with the positive images and/or goodwill with which Sponsor wishes to be associated, as determined by Sponsor in its sole discretion; (vii) the Photo cannot contain any personal identification, such as personal names, email addresses or street addresses, without express permission; (viii) the Photo cannot depict and cannot itself be in violation of any law; and (x) the Photo must otherwise be in compliance with these Official Rules.

Alternative method of entry by email: To enter without submitting a Photo through Instagram, you may alternatively enter by submitting an email to: vitafusionpromotions@colangelo-sm.com with the subject "VitaSummer Giveaway Sweepstakes", and including your first and last name in the body of your email.

By submitting/posting an Entry, you represent, warrant and agree that your Entry conforms to these Official Rules and that Sponsor, in its sole discretion, may declare your Entry void and disqualify you from the Sweepstakes if it believes that your Entry fails to conform, for any reason it deems appropriate in Sponsor’s sole discretion, to these Official Rules.

Although it is free to enter, if you enter by either Instagram or email using your wireless device, wireless access and data fees may apply. Please consult your wireless service provider regarding your pricing plan. Not all cellular phone providers carry necessary service to participate. Check your phone capabilities for specific instructions. Wireless access is not available in all areas.

LIMIT: Regardless of method of entry, limit one (1) entry per person per day. For purposes of this Sweepstakes, a “day” is defined as beginning on 12:00 AM ET and ending at 11:59 PM ET (“Day”). Each Day during the Sweepstakes Period is an "Eligibility Period". For clarity, there are 7 Eligibility Periods in the Sweepstakes. Entries will not carry over from one Eligibility Period to the next; you must separately enter each Eligibility Period. You may only use one (1) Instagram account to enter the Sweepstakes.

ELIGIBILITY: This Sweepstakes is open to legal residents of the 50 United States and the District of Columbia, 18 years of age or older at the time of entry. Employees of the Sponsor, Colangelo Synergy Marketing and any other organizations affiliated with the sponsorship, fulfillment, administration, prize support, advertisement or promotion of the Sweepstakes and each of their respective parents, agents, affiliates, subsidiaries, and advertising and promotion agencies, and their immediate family members (regardless of where they reside) or household members, whether or not related, are not eligible to enter or win. “Immediate family members” shall mean spouses, parents, step-parents, children, step-children, siblings, step-siblings and their respective spouses. “Household members” shall mean people who share the same residence at least three months per year.

WINNER SELECTION: Following each Eligibility Period, Sponsor will conduct a random drawing to select one (1) potential winner from among all eligible entries received during that Eligibility Period. Odds of winning for each Eligibility Period will depend upon the number of eligible entries received during the applicable Eligibility Period.

WINNER NOTIFICATION: Potential winners will be notified via email/Instagram direct message and may be required to complete and return an Affidavit of Eligibility and Release of Liability/Publicity (where permitted by law) within twenty-four (24) hours of time and date of notification, or an alternate potential winner may be selected in a random drawing from among all remaining eligible entries received during that Eligibility Period. If potential winner is under the age of majority in its state of legal residence, the Affidavit must be executed on its behalf by its parent or legal guardian. If such documents are not returned within the specified time period, prize or prize notification is returned as undeliverable, Sponsor is unable to contact a potential winner or a potential winner is not in compliance with these Official Rules, prize will be forfeited and, at Sponsor’s discretion and time-permitting, an alternate winner for the applicable drawing may be selected.

PRIZES (7 total): One Prize will be awarded for each of the Eligibility Periods during the Sweepstakes Period. The total approximate retail value ("ARV") of all prizes available in the Sweepstakes will not exceed $700.

• VitaSummer Giveaway Sweepstakes – 7 winners will each receive a Vitafusion™ Summer Beach Bag filled with products. (ARV of $100 per prize).

Prize Conditions: Prizes are awarded “as is” with no warranty or guarantee, either expressed or implied by Sponsor. Gift card is subject to its terms and conditions. Prizes cannot be transferred and cannot be sold, bartered or exchanged for money. Winners may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute a prize (or portion thereof) with one of comparable or greater value. Contents of the Vitafusion Summer Beach Bag will be selected at Sponsor's sole discretion. All applicable federal, state and local taxes, if any, and all other costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winners. Released Parties (as defined below) disclaim all and any liability for the actual provision, quality or nature of any prize (or portion thereof) accepted by a winner. The awarding of any prize is contingent upon full compliance with these Official Rules. Prizes are subject to certain terms and conditions as specified thereon. All prize details are at the sole discretion of the Sponsor.

CONDITIONS AND LIMITATIONS: All entries become the property of the Sponsor. Any entry that is tampered with, forged, illegible, mutilated, altered, duplicated or obtained through unauthorized distribution channels, will be null and void. Sponsor may discontinue this Sweepstakes at any time. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play of the Sweepstakes, or should the Sweepstakes be unable to run as planned for any other reason, Sponsor reserves the right to terminate the Sweepstakes. Should the Sweepstakes be terminated prior to the stated expiration, notice will be posted.

Acceptance of a prize constitutes permission to the Sponsor, and its agencies, to use winners’ names and/or likeness and hometown information (city and stated residence) for advertising and publicity purposes in any, and all, media now known or hereafter devised, worldwide in perpetuity, without further compensation, notification, or permission except where prohibited by law. All entry information collected may be used for the Sponsor's internal purposes and to send entrants information about Sponsor’s products/promotions but will not be provided or sold to third parties, except as necessary for the administration of the Sweepstakes or legal procedure. By entering, you are providing information to Sponsor and agree to Sponsor's collection and use of entrant's personal information as described in its privacy policy at http://www.churchdwight.com/privacy-policy.aspx.

By entering, entrants agree to these Official Rules and all decisions of the Sponsor will be final and binding. This Sweepstakes is subject to all applicable federal, state and local laws and regulations. Released Parties (as defined below) (a) make no warranty, guarantee or representation of any kind outside those written in these Official Rules, and (b) disclaim any implied warranty.

Grant of Rights. Each entrant into the Sweepstakes hereby irrevocably grants Sponsor a non-exclusive, non-transferable, royalty-free perpetual license to use, display, publish, adapt, edit and/or modify entrant's Photo for any and all purposes in any and all media channels without limitation, worldwide and without additional compensation, notice or approval from entrant.

Representations and Warranties: By submitting an Entry, entrant represents and warrants that: (i) his/her Photo is his/her sole and original creation and has not been copied in whole or in part from any other work; and (ii) the Entry does not violate or infringe any copyright, trademark, trade name, trade secret or other proprietary right of any person or entity. Each entrant (or a minor entrant's parent/legal guardian on its behalf) hereby agrees to indemnify and hold the Sponsor and its subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors harmless from and against any and all third party claims, actions or proceedings of any kind and from any and all damages, liabilities, costs and expenses relating to or arising out of any breach or alleged breach of any of the warranties, representations or agreements of entrant hereunder.

PHOTOS/ENTRIES POSTED BY ENTRANTS AND/OR RE-POSTED BY SPONSOR REPRESENT SOLELY THE VIEWS/OPINIONS OF THE ENTRANTS THEMSELVES AND DO NOT REFLECT THE VIEWS/OPINIONS OF SPONSOR IN ANY MANNER. SPONSOR WILL NOT REVIEW ANY PHOTO/ENTRY PRIOR TO THE INITIAL POSTING OF SAME BY ENTRANT AND EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY IN CONJUNCTION THEREWITH. SPONSOR FURTHER DISCLAIMS ANY AND ALL LIAIBLITY RELATIVE TO REVIEWING, MONITORING OR FILTERING ANY PHOTOS/ENTRIES PRIOR TO RE-POSTING PHOTOS/ENTRIES. SPONSOR WILL NOT EDIT PHOTOS/ENTRIES PRIOR TO RE-POSTING THEM IN CONJUNCTION WITH THE ADMINISTRATION OF THE CONTEST.

ARBITRATION: Except where prohibited by law, as a condition of participating in this Sweepstakes, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held at a AAA regional office in New York, NY; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental or consequential damages including attorney’s fees or any other damages, other than for entrant’s actual out-of-pocket expenses (i.e., costs associated with participating in this Sweepstakes), and entrant further waives all rights to have damages multiplied or increased.

RELEASES: By participating in this Sweepstakes, entrants agree to release, indemnify and hold harmless Sponsor, Instagram, Colangelo Synergy Marketing and any other organizations affiliated with the sponsorship, fulfillment, administration, prize support, advertisement or promotion of the Sweepstakes and each of their respective parents, agents, affiliates, subsidiaries, advertising and promotion agencies, and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage arising in any manner, in whole or in part, directly or indirectly, from participation in this Sweepstakes and/or acceptance, use or misuse of any prizes.

OTHER: Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, undelivered, garbled or misdirected entries, winner notifications or other Sweepstakes-related materials; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries, winner notifications, the announcement of the prizes, or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking or by any equipment or programming associated with or utilized in the Sweepstakes. Released Parties are not responsible for injury or damage to entrants’ or to any other person’s computer related to, or resulting from, participating in this Sweepstakes or downloading materials in connection therewith. Sponsor reserves the right, in its sole discretion to disqualify any person tampering with the entry process, the operation of any website promoting the Sweepstakes or otherwise in violation of these Official Rules. Sponsor further reserves the right, in its sole discretion, to cancel, terminate or modify this Sweepstakes if the Sweepstakes is compromised by virus, technical corruption, non-authorized human intervention, or any other causes which, in the sole discretion of the Sponsor, corrupt or affect the administration, security, fairness, proper play or integrity of the Sweepstakes. In the event of cancellation or termination, Sponsor reserves the right to select the potential winner(s) for the drawing(s) at issue in a random drawing from among all eligible, non-suspect entries for the drawing at issue received prior to date of cancellation or termination. In the event of a dispute regarding entry, entry will be deemed made by the authorized account holder of the e-mail address used to register the Instagram account associated with the entry or the email address used for the alternative method of entry and he/she must comply with these Official Rules. The authorized account holder is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), online service provider, or other organization responsible for assigning email addresses or the natural person who is assigned the mobile phone number by a wireless service provider. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR WILL DISQUALIFY ANY SUCH INDIVIDUAL AND RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
